End User License Agreement for Azure

This End User License Agreement (“EULA”) applies to customers and users of Microsoft Azure services governed by the Microsoft Customer Agreement (or the Microsoft Online Subscription Agreement, as applicable) and the Microsoft Product Terms, who access or use the brainpowa model suite (brainpowa-general-conversational-m-v1; brainpowa-general-conversational-l-v1; brainpowa-general-toolcalling-m-v1) (the “Service”) made available by Rezolve AI PLC, a public limited company incorporated in England and Wales (company number 14573691) (“Licensor,” “we,” “us”) via the Microsoft Commercial Marketplace (Azure Marketplace) (the “Marketplace Listing”). By acquiring, accessing, or using the Service, you (“Customer”) agree to this EULA. For features designated as preview, the Azure Preview Supplemental Terms also apply. Microsoft is not a party to this EULA. 

1. Definitions 

“Microsoft Customer Agreement” / “Microsoft Online Subscription Agreement”: Microsoft’s applicable agreement governing Azure services. 

“Azure Portal”: Microsoft’s online portal through which Azure services are provisioned and managed. 

“Azure Services”: products and services offered through the Azure Portal. 

“Service”: the brainpowa model suite (brainpowa-general-conversational-m-v1; brainpowa-general-conversational-l-v1; brainpowa-general-toolcalling-m-v1) the offering made available by Licensor via the Marketplace Listing. 

“Website”: Licensor’s website(s) and online applications. 

“Customer Content”: any data, prompts, inputs, or other content submitted by Customer to the Service. 

“Outputs”: model-generated content produced by the Service in response to Customer prompts or inputs. 

“Personal Data”: has the meaning given by applicable data protection laws. 

2. Important Notice 

Use of the Service may be subject to export controls, sanctions, and other International Trade Laws. Customer confirms it is not a denied/restricted party and will not use the Service for prohibited end uses. 

3. Eligibility 

You may use the Service as an individual or on behalf of an entity. If you do so on behalf of an entity, you represent that you have authority to bind that entity and “Customer” refers to that entity. If a separate written agreement with Licensor expressly governs the Service and conflicts with this EULA, that agreement controls to the extent of conflict. 

4. License Granted 

Subject to this EULA and applicable Microsoft terms, Licensor grants a subscription-based, non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and use the Service worldwide (subject to applicable laws) during the term. No ownership in the Service is transferred. 

Access and use must remain within functional, user, usage or other limits set in the Marketplace Listing or Azure terms. 

Unless Customer expressly opts in, Licensor does not use Customer prompts, inputs, or outputs to train or improve Licensor’s base models. Customer shall not use outputs to train other general-purpose large language models without Licensor’s prior written consent. 

5. Restrictions 

Except as expressly permitted by this EULA or law, Customer will not (and will not permit others to): reverse engineer or create derivative works; rent, lease, sell, resell, loan, distribute, or sublicense access; circumvent security, usage rules, or rate limits; use Licensor IP without authorization; abuse trial access; use automated tools to scrape or overload the Service; or remove/alter proprietary notices. 

High-risk uses (e.g., medical diagnosis or treatment, legal or financial advice, safety-of-life, or critical infrastructure) are not permitted unless expressly authorised by Licensor in a separate written agreement. Where such agreement is in place, appropriate human oversight is required at all times. 

6. Fees and Taxes 

If applicable, fees are handled via Azure in accordance with the Marketplace Listing and Microsoft’s billing. Except as stated otherwise, fees are non-refundable. Prices exclude taxes; Customer is responsible for all applicable taxes. 

For a Free tier, no fees are payable to Licensor; Azure or third-party infrastructure charges may still apply. 

7. Term and Termination; Effect of Termination 

This EULA takes effect upon acquisition or first use and continues until terminated. Licensor may suspend or terminate access at any time for breach, non-payment (if applicable), security or compliance risk, adverse impact on systems/customers, legal exposure, or fraud. 

Upon termination, Customer may export available Customer Content for 30 days, after which Licensor may delete remaining Customer Content, except where retention is required by law or reasonably permitted to protect legal rights. 

Upon termination or suspension, Customer must cease use. This provision will survive termination or suspension. 

8. Support 

If applicable to your plan, Licensor may provide support at its discretion. Trial/Free access does not include support and any SLA (Service Level Agreement). Updates, if provided, may include fixes or enhancements; Customer is responsible for deploying updates. 

Licensor may update the Service or deprecate material features upon at least 90 days’ notice via the Marketplace Listing or reasonable means, except where a shorter period is required for security, legal, or compliance reasons. 

9. Your Access to the Service 

Customer is responsible for equipment, connectivity, and third-party charges required to access the Service. Customer consents to Licensor receiving Azure usage/metering information for auditing and abuse-prevention. Use outside the primary regions is at Customer’s risk and must comply with local laws. 

Customer Content is processed in Azure regions configured in Customer’s Azure subscription. The applicable processing region(s) for this offer are as specified in the Marketplace Listing 

Customer is responsible for safeguarding API (Application Programming Interface) keys, tokens, and account credentials, and must promptly rotate or revoke credentials suspected to be compromised. 

10. Privacy Policy 

Licensor may collect and process personal data through the Service. Collection and use are governed by Licensor’s Privacy Policy and, where applicable, a Data Processing Addendum, each incorporated by reference and available on request. 

11. Links and Third-Party Content 

The Service may display or link to third-party products, services, websites, or content. Licensor does not control and is not responsible for third-party content; reliance on such content is at Customer’s risk. 

The Service may include or interoperate with third-party software, models, datasets, or open-source components. Required open-source license texts and attributions are maintained by Licensor and will be provided upon request; for any component, the applicable open-source license prevails in case of direct conflict. 

12. Proprietary Rights 

Except for limited rights expressly granted, the Service (including software and related materials) and all associated intellectual property rights are and remain the exclusive property of Licensor and its licensors. 

13. Trademarks 

Licensor’s names, logos, product and service names, and trade dress are trademarks of Licensor or its licensors. Customer may not use them without prior written permission. 

14. Disclaimer of Warranties 

THE SERVICE AND ANY CONTENT OR OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY OR RELIABILITY OF OUTPUTS. 

15. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR AND ITS SUPPLIERS/LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL. IN ALL CASES, LICENSOR’S AGGREGATE TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED FIVE HUNDRED US ($500) OR, IF APPLICABLE, THE AMOUNTS PAID BY CUSTOMER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, WHICHEVER IS GREATER. 

16. Indemnity 

Customer will defend, indemnify, and hold harmless Licensor and its affiliates, and their employees, officers, directors, and representatives, from and against third-party claims and liabilities arising from Customer’s use of the Service, Customer content, or breach of this EULA or law. 

17. Legal Notices 

Governing law: England and Wales. Exclusive jurisdiction of the courts of England and Wales. The U.N. Convention on Contracts for the International Sale of Goods (CISG) does not apply. Legal notices to Licensor: 21 Sackville Street, London, W1S 3DN, United Kingdom and DPM@rezolve.com. Licensor may notify Customer via contacts associated with Customer’s Azure account. 

18. Notifications 

Licensor may use your contact information to send service or legally required notices. Marketing communications require your explicit consent where required by law.
